Media Terms and Conditions

1. Parties and Application

These Media Terms and Conditions apply to advertising services supplied by The Mobile Billboard Company (ABN 74 613 661 331) to any client, advertiser, agency, business, organisation, government body or person who requests, books, approves or pays for advertising services.
In these Terms, “TMBC”, “we”, “us” and “our” mean The Mobile Billboard Company. “Client”, “you” and “your” mean the person, business, agency, advertiser or organisation engaging TMBC.
These Terms are intended to be read together with any quote, proposal, booking confirmation, purchase order, insertion order, contract, invoice or written campaign approval issued or accepted by TMBC.

2. Services

TMBC provides outdoor advertising services including mobile billboard campaigns, billboard trailer campaigns, static roadside trailer display where applicable, campaign planning, local-area route support, production coordination, installation, removal, photography, reporting and related media services.
TMBC will use reasonable care and skill in delivering booked advertising services in accordance with the agreed campaign details, subject to practical, operational, legal, safety, traffic, access, weather, vehicle availability and other real-world considerations.
Mobile billboard and trailer-based activity is inherently flexible. Campaign delivery may be affected by road conditions, parking restrictions, site access, local regulations, operator discretion, safety requirements, public events, construction works, emergency services, weather and circumstances outside TMBC’s reasonable control.

3. Booking Confirmation

A quote, proposal, rate card, estimate, conversation or email exchange does not by itself create a confirmed booking.
A booking is confirmed only when TMBC accepts the campaign in writing and any required deposit, artwork approval, production approval, purchase order, signed agreement or written authorisation has been received.
TMBC may decline, pause, amend or cancel a campaign where TMBC reasonably considers the campaign cannot be delivered safely, legally, practically or in accordance with these Terms.

4. Client Advertising Material

The Client is responsible for supplying all advertising material and campaign information required for the campaign, including artwork, logos, images, copy, brand assets, approvals, disclaimers, QR codes, website addresses, phone numbers and any other required content.
The Client warrants that all material supplied to TMBC:
is accurate, lawful and not misleading;
does not infringe copyright, trademark, privacy, confidentiality or other third-party rights;
complies with relevant laws, advertising standards, industry codes and approval requirements;
has been properly authorised and approved for use;
does not contain defamatory, offensive, discriminatory, obscene or unlawful content;
does not breach any political, electoral, alcohol, gambling, health, financial or regulated advertising requirements where applicable.

5. Permissions and Consents

Where advertising material includes the name, image, likeness, voice, photograph or identifiable representation of a person, the Client warrants that all required permissions and consents have been obtained.
Where material includes third-party logos, trademarks, artwork, imagery, data, claims, testimonials or regulated content, the Client is responsible for ensuring all permissions, substantiation and approvals are in place before the campaign proceeds.

6. Licence to Use Advertising Material

The Client grants TMBC a non-exclusive, royalty-free licence to use, reproduce, print, display, install, publish, photograph, film, report on and otherwise handle the Client’s advertising material for the purpose of delivering the campaign and related services.
This licence includes use by TMBC’s employees, contractors, printers, installers, drivers, suppliers and production partners as reasonably required to deliver the campaign.
Ownership of Client-supplied artwork, logos and brand material remains with the Client or its licensors.

7. Artwork Approval and Responsibility

The Client is responsible for checking and approving all final artwork before production.
Once artwork is approved by the Client, TMBC is not responsible for any error, omission, spelling mistake, incorrect phone number, incorrect website, incorrect QR code, poor image quality, incorrect disclaimer, colour variation, layout issue or any other issue contained in the approved artwork.
TMBC may provide practical advice on layout, visibility, readability and mobile billboard suitability, but final approval and responsibility remains with the Client.

8. Artwork Specifications and Deadlines

Artwork must be supplied in the format, size, resolution and specifications requested by TMBC.
If artwork is not supplied correctly or on time, TMBC may be unable to meet the requested campaign start date. The Client remains responsible for any production, installation, booking or campaign costs already incurred.
TMBC may reject or request changes to artwork that is unsuitable for production, unsafe, unlawful, offensive, technically inadequate or inconsistent with campaign requirements.

9. Production, Installation and Removal

Where TMBC arranges production, printing, installation or removal of advertising material, the Client is responsible for all agreed production, installation and removal costs.
Production and installation costs may be payable separately or included as part of the total campaign cost, depending on the agreed quote.
Once production has commenced, the Client remains liable for production costs even if the campaign is cancelled, postponed, changed or not proceeded with by the Client.
TMBC is not responsible for production delays caused by late artwork, incorrect artwork, supplier delays, courier delays, changes requested by the Client or circumstances outside TMBC’s reasonable control.

10. Campaign Delivery and Placement

TMBC will make reasonable efforts to deliver the campaign in line with the agreed campaign area, schedule, duration and targeting approach.
Unless expressly agreed in writing, TMBC does not guarantee:
a specific road, street, suburb, parking bay, exact site or fixed position;
continuous visibility in one location;
a specific audience number, enquiry number, impression level or campaign result;
uninterrupted display for every minute of a campaign day;
access to a specific school, shopping centre, event, venue, roadside area, private property or car park;
permission to stop, park or display in every requested location.

11. Operational Flexibility

The Client acknowledges that mobile billboard and trailer-based campaigns require operator judgment and may require changes to routes, stops, parking positions, timing or campaign flow due to real-world conditions.
TMBC may vary routes, locations, timing, display methods or other operational elements where reasonably required for safety, legal compliance, traffic conditions, weather, access, operational practicality or campaign effectiveness.
TMBC will make reasonable efforts to preserve the overall intent of the campaign where operational changes are required. A change made for operational, legal, safety, access or weather-related reasons will not entitle the Client to a refund, credit or reduction unless TMBC agrees otherwise in writing.

12. Refusal or Withdrawal of Advertising

TMBC may refuse, remove, suspend or withdraw advertising material or campaign activity if TMBC reasonably believes the advertising:
is unlawful, offensive, misleading, defamatory, discriminatory or inappropriate;
may expose TMBC to legal, reputational, safety or operational risk;
breaches these Terms or a third party’s rights;
is likely to cause public complaint, regulator concern or unsafe interaction;
does not comply with applicable advertising standards or campaign requirements.

13. Campaign Reporting, Photos and Proof of Activity

Where included in the campaign, TMBC may provide campaign updates, photos, video snippets, location summaries, operator notes or general reporting.
Photos, videos and reports are intended to provide a practical overview of campaign activity and are not a complete record of every location, minute, road or audience exposure achieved during a campaign.
The Client acknowledges that campaign photos may be limited by traffic, safety, parking, road rules, access, weather, operator discretion and practical stopping opportunities.
TMBC may use reasonable third-party tools, mapping references, operator logs, photography and internal reporting methods to assist with campaign reporting.

14. Performance and Results

TMBC does not guarantee specific commercial results from any campaign, including enquiries, sales, bookings, website traffic, QR code scans, foot traffic, brand recall, public response or return on investment.
The Client acknowledges that campaign outcomes may be influenced by creative quality, offer strength, audience relevance, campaign duration, location, timing, market conditions, competition, weather and factors outside TMBC’s control.

15. Pricing, Quotes and GST

All prices are in Australian Dollars unless stated otherwise. Unless expressly stated, prices are exclusive of GST.
Quotes are based on information available at the time and may change if campaign details change, including duration, geography, travel, production, installation, artwork, scheduling, access, reporting requirements or other operational requirements.
TMBC may update rate cards, pricing and service inclusions at any time.

16. Payment Terms

Payment terms will be as set out in the relevant quote, invoice, booking confirmation, contract or written agreement.
Unless otherwise agreed in writing, TMBC may require full payment or part-payment before production, installation or campaign commencement.
Where credit terms have been approved, invoices must be paid by the due date shown on the invoice. All amounts must be paid in Australian Dollars.
If the Client disputes an invoice, the Client must notify TMBC in writing within 7 days of the invoice date and provide details of the dispute. Any undisputed amount remains payable by the due date.

17. Agency Bookings

Where an advertising agency, media agency, creative agency or other intermediary books a campaign on behalf of an end client, the agency is responsible for payment unless TMBC agrees otherwise in writing.
The agency warrants that it has authority to approve the campaign, supply artwork, accept these Terms and bind the advertiser or end client where relevant.
The agency remains responsible for campaign instructions, approvals, artwork, production costs, cancellation fees and payment obligations.

18. Cancellations, Postponements and Changes

Any request to cancel, postpone or change a campaign must be made in writing. TMBC may approve or decline the request at its discretion.
If a confirmed campaign is cancelled, postponed or materially changed, the Client may be liable for production costs, installation costs, contractor or driver costs, supplier costs, administration and scheduling costs, media costs for booked campaign days and any other costs reasonably incurred by TMBC.
Where campaign assets, drivers, production or installation have already been allocated, TMBC may charge a cancellation fee of up to 100% of the booked campaign value.

19. Failure to Supply Material or Approval

If the Client fails to supply approved artwork, materials, information or approvals required to commence a booked campaign, the Client remains liable for the campaign and production costs unless TMBC agrees otherwise in writing.
TMBC may delay, reschedule, reduce or cancel the campaign where required material or approval is not supplied on time.
No refund, credit or make-good is owed where non-delivery or delayed delivery is caused by the Client’s failure to provide required material, approval or information.

20. Weather, Safety and Force Majeure

TMBC may suspend, alter, delay or cancel campaign activity where weather, road conditions, safety concerns, emergency events, vehicle issues, traffic conditions, public disorder, police direction, government restriction, mechanical failure, illness, supplier failure or any event outside TMBC’s reasonable control affects delivery.
Where possible, TMBC will make reasonable efforts to minimise disruption and may offer an alternative delivery approach, rescheduled activity or adjusted campaign structure at its discretion.
TMBC is not liable for loss, damage, cost or delay caused by events outside its reasonable control.

21. Vehicles, Drivers and Contractors

TMBC will take reasonable steps to ensure campaign vehicles, trailers, contractors and operators are suitable for the relevant campaign.
Mobile billboard campaigns may occasionally be affected by vehicle breakdown, trailer maintenance, driver availability, traffic accidents, road closures, parking limitations, enforcement directions or access issues.
Where operational issues arise, TMBC may use reasonable alternative arrangements to continue or complete the campaign where practical.

22. TMBC Intellectual Property

All TMBC materials, including proposals, rate cards, campaign planning documents, location recommendations, reports, templates, photographs, videos, website content, strategy notes, maps, operating methods and business documents remain the property of TMBC unless otherwise agreed in writing.
The Client must not copy, reproduce, distribute, publish or provide TMBC materials to third parties except for the purpose of considering, approving or administering a campaign with TMBC.

23. Use of Campaign Images by TMBC

Unless the Client advises otherwise in writing, TMBC may use general campaign photos, videos and examples for internal records, reporting, marketing, capability presentations, case studies, website content, social media and business development.
TMBC will use reasonable discretion when using campaign material publicly and will not intentionally disclose confidential campaign information where the Client has clearly identified it as confidential.
If a campaign is confidential, sensitive, government-related, political or subject to embargo, the Client must notify TMBC in writing before campaign commencement.

24. Confidentiality

Each party must keep confidential any confidential business information received from the other party, except where disclosure is required by law, permitted by the other party or reasonably required to deliver, administer or review the campaign.
Confidential information may include pricing, proposals, campaign plans, business information, client information, media strategy, unpublished creative and operational details.

25. Privacy

TMBC may collect personal information from the Client for the purpose of responding to enquiries, managing bookings, issuing invoices, delivering campaigns, communicating with suppliers and administering its business.
TMBC may disclose necessary information to contractors, suppliers, drivers, installers, printers, agencies, payment providers or professional advisers where reasonably required to deliver services or manage the Client account.
Where an account is overdue, TMBC may disclose relevant information to debt collection agencies, legal advisers or credit-related service providers.

26. Credit and Account Terms

TMBC may approve, refuse, suspend or withdraw credit terms at its discretion.
TMBC may require prepayment, part-payment or payment before campaign commencement at any time.
Where credit is provided, the Client agrees that TMBC may make reasonable enquiries regarding the Client’s creditworthiness and may use or disclose relevant information for that purpose, subject to applicable law.

27. Overdue Accounts

If the Client fails to pay an invoice by the due date, TMBC may:
suspend current or future campaign activity;
require prepayment for any further services;
cancel or delay booked advertising;
charge interest on overdue amounts where permitted by law;
recover debt collection, legal and administrative costs incurred in recovering the overdue amount;
take legal action to recover outstanding amounts;
exercise any other rights available at law.

28. Liability

To the maximum extent permitted by law, TMBC is not liable for indirect, consequential, special or economic loss, including loss of profit, loss of revenue, loss of opportunity, loss of goodwill or loss of business arising from the provision of advertising services.
Where TMBC’s liability cannot be excluded by law, TMBC’s liability is limited, at TMBC’s option, to the resupply of the relevant service or the cost of resupplying the relevant service.
Nothing in these Terms excludes, restricts or modifies any rights or guarantees that cannot be excluded under Australian Consumer Law.

29. Client Indemnity

The Client indemnifies TMBC, its officers, employees, contractors, suppliers, drivers, installers, agents and related parties against any loss, damage, cost, claim, liability or expense arising from:
the Client’s breach of these Terms;
advertising material supplied or approved by the Client;
any unlawful, misleading, defamatory, offensive or infringing advertising content;
any claim by a third party relating to the Client’s advertising;
any failure by the Client to obtain required permissions, licences, approvals or consents;
the Client’s negligence, misconduct or unlawful act.

30. Compliance with Laws and Codes

The Client is responsible for ensuring its advertising complies with all applicable laws, regulations, industry codes, advertising standards and approval requirements.
This may include laws and rules relating to consumer law, privacy, intellectual property, defamation, discrimination, electoral advertising, health advertising, financial advertising, alcohol advertising, gambling advertising, promotions, competitions and other regulated categories.
TMBC may request substantiation, approvals, disclaimers, licences or changes to advertising material where required.

31. Entire Agreement

These Terms, together with any written quote, booking confirmation, invoice, proposal, purchase order, insertion order, signed agreement or contract, form the agreement between TMBC and the Client in relation to the relevant advertising services.
Any variation to these Terms must be agreed in writing by TMBC.

32. Governing Law

These Terms are governed by the laws of Victoria, Australia. The parties submit to the jurisdiction of the courts of Victoria, Australia.

33. Term

These Terms apply from the date the Client requests, approves, confirms or proceeds with a booking and continue until the campaign and all related payment obligations have been completed.
Any clauses intended to continue after the campaign, including payment, confidentiality, intellectual property, indemnity, liability and privacy clauses, will continue to apply.
